Terms and Conditions
These Terms and Conditions (the "Terms") apply to your access to, and enrollment and participation in, the Altitude Card Cashback Rewards Program (the "Program"), which is operated by Selimor Investments Limited ("Squads," "we", "our" or "us").
YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO ENTER INTO THIS AGREEMENT ON BEHALF OF THE ENTITY CUSTOMER THAT IS NAMED AS THE CARDHOLDER, AND TO BIND THAT ENTITY TO THESE TERMS. ALL REFERENCES TO "YOU" OR "YOUR" IN THESE TERMS WILL BE DEEMED TO REFER TO YOU AND SUCH ENTITY.
YOUR PARTICIPATION IN THE PROGRAM CONFIRMS (A) YOUR ACCEPTANCE OF THESE TERMS, ALL TERMS INCORPORATED BY REFERENCE, AND ANY CHANGES OR MODIFICATIONS INTRODUCED FROM TIME TO TIME, AND (B) YOUR CONSENT TO THE COLLECTION, USE, AND DISCLOSURE OF YOUR PERSONAL INFORMATION IN ACCORDANCE WITH THESE TERMS AND OUR PRIVACY POLICY ("PRIVACY POLICY"). THEREFORE, YOU SHOULD REVIEW THESE TERMS, PRIVACY POLICY, AND OTHER APPLICABLE POLICIES AND FAQS FREQUENTLY AND CAREFULLY TO UNDERSTAND THE TERMS AND CONDITIONS THAT APPLY TO THE PROGRAM. IF YOU DO NOT AGREE TO THE TERMS, PRIVACY POLICY, OR OTHER APPLICABLE POLICIES, YOU MUST STOP PARTICIPATING IN THE PROGRAM.
You agree that the decisions of Squads will be final on all matters relating to the Program, your Reward Points, Rewards, and the interpretation of these Terms.
These Terms should be read and understood in connection with all other applicable terms and conditions as set forth in (a) the Altitude Cardholder Agreement (including the Altitude Card Terms and the Authorized User Terms), entered into between you, Squads, and Issuer, as defined in those agreements ("Cardholder Agreement") and (b) the Squads' Terms of Service Agreement and the Altitude Supplemental Terms/Altitude Account Terms (together, "Terms of Service"). In the event of any conflict between these Terms and the Terms of Service, these Terms shall prevail in connection with the subject matter herein.
1. Program Overview
The Program is intended to reward legal entity customers that hold the Altitude Card issued pursuant to the Cardholder Agreement ("Altitude Card," and such holders, "Cardholders") in the form of an automatic redemption of reward points ("Reward Points") for USDC, at a redemption rate of 1 USDC per 100 Reward Points, subject to eligibility for USDC payouts, disbursed to Cardholder's non-custodial wallet accessed through Squads (the "Altitude Account," and such USDC redeemed, the "Reward") for the purpose of facilitating transactions Cardholder makes using its Altitude Card. As a Cardholder, you will automatically be enrolled in the Program, unless otherwise prohibited by these Terms. For avoidance of doubt, the Program is provided by Squads. Issuer does not provide the Program or Rewards associated with the Program.
The Altitude Card Cashback Rewards Program described in these Terms is offered and operated exclusively by Squads. It is a loyalty and rewards program provided by Squads as an independent benefit to Cardholders. This Program is not sponsored, administered, endorsed, or guaranteed by the card-issuing bank or financial institution that issues the Altitude Card (the "Card Issuer"). The Card Issuer bears no obligation or liability of any kind in connection with this Program, and any dispute or claim relating to the Program must be directed solely to Squads. Your card account terms and conditions, which are governed by a separate agreement with the Card Issuer, continue to apply independently of these Terms.
2. Modifications and Termination
The Program is offered at the sole discretion of Squads. Except as otherwise expressly prohibited or limited by applicable laws, Squads reserves the right in its sole discretion to change, limit, or modify the Program (including related policies and FAQs) and/or these Terms, with or without notice, even though such changes may affect your eligibility for, or ability to access Reward Points and/or Rewards. Squads may, among other things: (i) limit accrual of Reward Points and Rewards, including through caps, fees, and expirations; (ii) increase or decrease the number of Reward Points earned for each dollar (or dollar equivalent in the form of USDC) spent on the Altitude Card while you are a participant in the Program; (iii) increase or decrease the redemption value for each Reward Point; (iv) change Program benefits, conditions of participation, rules for earning, retaining or forfeiting Reward Points and/or Rewards; (v) re-define the spend categories for different cashback tiers (including by removing certain merchants); and (vi) change the redemption schedule. Unless otherwise expressly provided, any changes or modifications will be effective immediately upon posting the revisions to altitude.xyz/legal/cashback-terms. You waive any right you may have to receive specific notice of such changes or modifications.
Without limiting the foregoing, Squads may terminate the Program with thirty (30) days' advance email notice to active Participants (as defined below) with Altitude Accounts (using the email address on file associated with the Participant's Account). A Participant may not accumulate Rewards after the termination of the Program. Squads may terminate the availability of the Program in any jurisdiction on less than thirty (30) days' notice if required to do so by applicable law.
3. Eligibility
Subject to the other terms and conditions of these Terms, the Program is open to any legal business entity that is an active Cardholder in good standing, and has not previously had its participation in the Program terminated by Squads ("Participants").
The Program and all related benefits (including without limitation Rewards) are void where restricted or prohibited by law.
By accepting any Program benefits, including, without limitation, any Reward Points or Rewards, you acknowledge that you are responsible for determining whether you are eligible to receive them under applicable laws, and any gift policies and incentive policies that apply to you. You must immediately notify us if you are not eligible to receive any Program benefits at any time.
4. Automatic Enrollment
Eligible Cardholders are automatically enrolled in the Program upon executing a Cardholder Agreement. Participants must have an online Altitude Account to access certain features of the Program. There are no membership fees associated with the Program.
5. Termination/Cancellation
5.1. Termination
Your enrollment and participation in the Program will automatically terminate upon the termination or cancellation of your Altitude Card and/or Cardholder Agreement.
5.2. Cancellation by Participant
You may cancel your enrollment and participation in the Program at any time by cancelling your Altitude Card.
5.3. Cancellation or Suspension by Squads
We may terminate your enrollment and participation in the Program at any time with immediate effect and without written notice, for any reason and in our sole discretion including, without limitation, if we believe you have:
- Acted in a manner inconsistent with applicable laws, regulations, or ordinances;
- Acted in an inappropriate, fraudulent, abusive or hostile manner;
- Breached or violated any of these Terms or our Terms of Service; or
- Engaged in any misconduct or wrongdoing in connection with the Program.
Collectively, the foregoing events, "Participant's Fault Event". Subject to applicable law, your enrollment and participation in the Program will terminate automatically if you file for bankruptcy or otherwise become subject to a bankruptcy proceeding. Squads' cancellation of your Program enrollment and participation will not limit our rights to exercise any other legal or equitable rights or remedies.
We may also temporarily prohibit you from earning and/or redeeming Reward Points and/or Rewards and/or revoke or void any Reward Points you've already earned if we suspect, in our sole discretion, you've engaged in misuse or fraudulent activity related to your Altitude Card, Altitude Account, or the Program or another Participant's Fault Event.
5.4. Effect of Termination/Cancellation
If Squads terminates/cancels a Participant's enrollment and participation in the Program for any reason, the Participant may not reapply for enrollment and participation in the Program except in very limited circumstances at Squads' sole discretion, and any Reward Points and other related benefits earned during such unauthorized enrollment or participation in the Participant's name will be forfeited and, if applicable, revoked and void upon discovery.
Upon any termination or cancellation of your enrollment and participation in the Program, you shall immediately cease earning any Reward Points and any of your Reward Points that have not been automatically redeemed and disbursed to your Altitude Account prior to such termination or cancellation shall be forfeited and void, unless otherwise prohibited by applicable law. The Program, Reward Points, and other related benefits are Squads' sole property and are not the property of Participants. Reward Points and other related benefits and services have no cash value and Squads will not compensate or pay cash for any forfeited or void Reward Points.
If a Participant terminates its participation in the Program, the Participant may rejoin the Program at a later date, but no Reward Points, Rewards or other related benefits and services previously forfeited or voided will be reinstated.
6. Earning Reward Points
Subject to these Terms, you can earn Reward Points during your enrollment in the Program ("Enrollment Period") by making certain qualified purchases.
"Qualifying Purchases" means any purchase completed by a Participant using their Altitude Card during the Enrollment Period, excluding all returns, refunds, cancellations, and chargebacks. The number of Reward Points earned by a Participant for a Qualifying Purchase depends on the applicable spend category of the merchant:

*Travel: Qualifying Purchases qualifying as "Travel" are purchases from merchants primarily selling flights, hotels, train tickets, car rentals, and/or cruise packages.
**Startup Stack: Qualifying Purchases qualifying as "Startup Stack" are purchases made directly or indirectly (i.e. through an authorized reseller) from the following merchants: Anthropic, OpenAI, Linear, AWS, Figma, Railway. The list of Startup Stack merchants may be updated by Squads from time to time at its sole discretion.
NB: Merchants are grouped into the Travel category based on its merchant code assigned by the applicable card network and/or merchant's payment processor based on the types of products and services they primarily sell. A merchant or its products and services may appear to fit within the Travel category but may not be categorized as such based on their merchant code. In such case, purchases with such merchants won't qualify for such categories' Rewards rate.
Purchases made through third-party payment accounts, using mobile or wireless card readers, using online or mobile digital wallets, or similar technology may not qualify for Reward Points at a rates above 1% if such technology is not set up to identify and communicate to us information needed to determine if a purchase is eligible for a certain spend category.
Qualifying merchants are subject to change without notice to you.
Squads reserves the right to retroactively deduct Reward Points from a Participant's Altitude Account in the event of any cancellations, returns, refunds, or chargebacks, or in the event of a Participant's Fault Event. As a result, you may see a negative Reward Points balance appearing in your Altitude Account for one or two billing cycles following such event. Such amounts will be deducted or offset from Rewards Points you earn.
This Program is not endorsed, sponsored, or otherwise administrated by any specific merchant listed above or otherwise referenced in connection with the Program, unless expressly stated otherwise. Likewise, we do not endorse or sponsor any such merchants or their products and services. Such merchants are in no way affiliated with us and we are not responsible for any aspects of their products or services.
7. Redeeming Reward Points
Reward Points will be automatically redeemed for Rewards on a calendar-month basis. If your Altitude Card is cancelled or terminated prior to the redemption of your Reward Points, you forfeit any right, title, and interest you may otherwise have in those Reward Points.
8. Reward Points Miscalculations
It is your responsibility to ensure that earned Reward Points are properly calculated and credited in accordance with these Terms. If you think you were eligible for a Reward Point that was not properly credited to you, we can require that you submit documentary evidence to support your claim that is satisfactory to us. You must send your claim for improperly credited Reward Points within sixty (60) days after the date upon which the credit was applied or you claim such crediting was supposed to have occurred but did not. If you do not file your claim within sixty (60) days, Rewards earned will be deemed accurate and you will have waived any claim for adjustment. We reserve the right (but are not required) to correct inaccurate Reward Points, and to adjust Reward Points at our sole discretion. If we do not credit, or improperly deny, a claim to Reward Points or Rewards redemption to which you were otherwise entitled, then your exclusive remedy will be the issuance of the improperly denied Reward Points or Rewards, respectively, if available, or such other alternative benefit as we in our sole discretion may determine.
9. Additional Rewards Terms
You may view a record of your Reward Points through your Altitude Account. Reward Points will not be deemed earned and eligible for redemption until your Qualifying Purchase has settled. Settlement depends on the merchants you shopped, the products you purchased, and other fraud and risk factors. Squads reserves the right to delay the issuance of Reward Points and/or redemption for Rewards based on Squads' suspicion or detection of fraud with your Altitude Card or Altitude Account or any anomaly with your Altitude Card or Altitude Account.
Errors regarding Reward Points calculations may occur and we reserve the right to correct such errors at any time, even if it affects balances shown in your Altitude Account.
Reward Points earned under the Program are promotional in nature. Reward Points have no cash value and you have no rights, entitlement, or other vested legal interest in any Reward Points. Use of the word "earn" or similar marketing does not infer that any Reward Points have any value until a redemption is made and Rewards in the form of USDC are disbursed to your Altitude Account.
Reward Points are not assignable or transferable and cannot be redeemed for cash or any cash equivalent except as required by law. Participants may not barter or sell Reward Points. Reward Points may not be purchased for cash.
You are solely responsible for any taxes relating to your participation in the Program, including your receipt of any Rewards.
10. Disclaimers; Releases
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SQUADS DISCLAIMS ALL GUARANTEES AND/OR WARRANTIES, EXPRESSED OR IMPLIED WITH RESPECT TO THE PROGRAM, REWARD POINTS, AND REWARDS, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT.
To the fullest extent permitted by applicable law, Squads, its affiliates, marketing agencies, and any other party involved in the administration of the program, including such parties' officers, directors, employees, and agents (collectively, the "Squads Parties") do not assume any liability or responsibility for, and by enrolling in the Program, you hereby waive and release the Squads Parties from, any actions, claims, damages, losses, or injuries of any kind (collectively "Claims") arising in connection with the Program and/or the receipt, use, or misuse of any Reward Points or Rewards, including without limitation, Claims relating to: (i) the malfunction of any computer, telephone, mobile device, network, satellite, hardware, software, or communications line; (ii) unauthorized human intervention; (iii) incorrect, delayed or inaccurate transmission, notifications regarding your Reward Points and Rewards claims or other information or communications relating to the Program, or the failure to capture or transmit any such information; (iv) damage to any person's computer or mobile device; or (v) any errors in these Terms or other announcements or communications relating to the Program.
For California Residents Only: You hereby waive California Civil Code Section 1542, which states, "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in their favor at the time of executing the release and that, if known by them, would have materially affected the settlement with the debtor or released party."
11. Miscellaneous
All issues and questions concerning the construction, validity, interpretation, and enforceability of these Terms shall be governed by, and construed in accordance with, the laws of the British Virgin Islands, without giving effect to any choice of law or conflict of law rules.
Squads' failure to enforce any term or condition of these Terms shall not constitute a waiver of that or any other provision. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.
We may freely assign any of our rights and obligations under these Terms to a third party.
12. Privacy Policy
Any personally identifiable information collected during your participation in the Program will be collected and used by Squads and its designees for the administration and fulfillment of the Program and as otherwise described in these Terms, the Terms of Service, and the Privacy Policy.
13. Communication
We may send communications about the Program to you at any mailing or email address in our records or through your Account. You are responsible for and must provide us with any changes to your contact information.
